1. Agreement to Terms
By accessing and using the SCALEFRONT website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. SCALEFRONT reserves the right to modify these terms at any time. Your continued use of our services following any changes constitutes your acceptance of the new terms.
2. Services Description
SCALEFRONT provides digital marketing services including but not limited to:
- Paid advertising strategy and management
- Creative content strategy and development
- Conversion rate optimization (CRO)
- Landing page design and optimization
- Retention and email marketing strategies
- Full-stack growth marketing solutions
Our services are tailored based on your specific needs and agreement with SCALEFRONT. We strive to deliver high-quality marketing solutions, but results may vary based on market conditions, industry factors, and implementation quality.
3. Client Responsibilities
As a client of SCALEFRONT, you agree to:
- Provide accurate and complete information about your business, goals, and target audience
- Grant necessary access to your marketing accounts, analytics, and platforms
- Respond promptly to requests for information, feedback, or approvals
- Comply with all applicable laws and regulations
- Not engage in fraudulent, deceptive, or illegal activities
- Take responsibility for the accuracy and legality of all content provided
- Maintain confidentiality of any proprietary information shared by SCALEFRONT
4. Payment Terms
Pricing and Invoicing: Service fees are outlined in your service agreement. Unless otherwise stated, invoices are due within 30 days of receipt.
Payment Methods: We accept major credit cards, bank transfers, and other agreed-upon payment methods.
Late Payments: Late payments may result in suspension of services. A late fee of 1.5% per month (or the maximum allowed by law) may be applied.
Refunds: Service fees are generally non-refundable. Refund requests must be submitted in writing within 14 days of payment and will be evaluated on a case-by-case basis.
5. Intellectual Property
Your Content: You retain all rights to content you provide to SCALEFRONT. You grant us a limited license to use this content solely for delivering our services.
Our Work Product: All original creative work, strategies, reports, and materials developed by SCALEFRONT ("Work Product") are owned by SCALEFRONT. Upon full payment of fees, you receive a non-exclusive license to use the Work Product for your business.
Third-Party Tools: Our services may utilize third-party platforms and tools. You are responsible for complying with their terms of service. SCALEFRONT is not liable for third-party tool limitations or changes.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during our working relationship. This includes business strategies, financial data, and marketing insights. This obligation survives termination of our agreement for a period of two years.
7. Limitation of Liability
No Guarantees: SCALEFRONT does not guarantee specific results, conversion rates, revenue increases, or marketing outcomes. Marketing performance depends on numerous factors outside our control, including market conditions, competition, and economic factors.
Liability Cap: To the maximum extent permitted by law, SCALEFRONT's total liability for any claims arising from these terms or our services shall not exceed the total fees paid by you in the 12 months preceding the claim.
Excluded Damages: SCALEFRONT is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost revenue, even if advised of the possibility of such damages.
8. Disclaimers
Our services are provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure.
9. Termination
By You: You may terminate your agreement with SCALEFRONT by providing written notice as specified in your service agreement.
By SCALEFRONT: We may terminate our relationship if: (1) you fail to pay fees for 30 days; (2) you breach material terms and fail to remedy within 14 days of notice; (3) you engage in illegal activities or violate these terms.
Effect of Termination: Upon termination, your access to our services ceases. Any outstanding fees remain due. Sections on confidentiality, intellectual property, and limitation of liability survive termination.
10. Indemnification
You agree to indemnify and hold harmless SCALEFRONT, its officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these terms, or your infringement of any third-party rights.
11. Dispute Resolution
Any disputes arising from these terms or our services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be governed by the laws of your jurisdiction and resolved through binding arbitration or litigation as permitted by law.
12. Entire Agreement
These Terms of Service, along with any executed service agreement and privacy policy, constitute the entire agreement between you and SCALEFRONT regarding our services and supersede all prior agreements and understandings.
13. Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14. Amendments
SCALEFRONT reserves the right to amend these terms at any time. Changes become effective upon posting to our website. Continued use of our services following such changes constitutes your acceptance of the amended terms.
